This website is owned and operated by Bilbury Books. These Terms set forth the terms and conditions under which you may use our website and services as offered by us. By accessing or using the website of our service, you approve that you have read, understood, and agree to be bound by these Terms.

In order to use our website and/or receive our services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you.

General
​
These terms & conditions apply to any work done for the Client by Bilbury Books.
The Client is under no obligation to offer Bilbury Books work; neither is Bilbury Books under any obligation to accept work offered by the Client.
Bilbury Books will provide service(s) as mutually agreed, confirmed in writing by the Client.
The work will be carried out unsupervised at such times and places as determined by Bilbury Books, using their own equipment.
Bibury Books confirms that they are self-employed, responsible for their own income tax and National Insurance contributions, and for paying VAT (where applicable) and will not claim benefits granted to the Client's employees.

Payment and Billing
Hours of work and availability are agreed upon prior to commencing work and laid out in terms of the contract.
A 50% payment is required prior to the commencement of work. Failure to submit this initial payment may result in delays in starting the project. The remaining balance is to be settled within seven calendar days from the invoice date at the conclusion of the project.
Payments can be made by PayPal, direct debit or bank transfer. Full details will be provided by email.
The Client will reimburse Bilbury Books for agreed reasonable expenses over and above usual expenses incurred in the process of editorial work.
If the project is lengthy, Bilbury Books may invoice periodically for completed stages. Unless agreed otherwise at the outset, final payment will be made within 30 days of receipt of the invoice, according to the Late Payment of Commercial Debts (Interest) Act 1998 (amended 2002 and 2013).
Unpaid bills will incur interest, as per government guidelines. It is at my discretion whether work continues after a bill remains unpaid.
We reserve the right to review prices listed here on an annual basis.
Business Terms
Project timelines and deadlines will be determined and agreed upon with the client at the onset of a project.
The completed work will be delivered on or before the date agreed, for the agreed fee, which will be based on the description of the work required and the brief, both supplied by the Client.
While we endeavour at all times to ensure the accuracy of the completed work, it is your responsibility to verify its accuracy upon receipt and we shall not be liable for any inaccuracies or any losses directly or indirectly arising from such inaccuracies.
Any errors must be reported within two working days of receipt of completed work. Errors generated by Bilbury Books will be rectified free of charge.
If we are unable to deal with a request, we will inform you as soon as reasonably possible.​
In the event of a contract or our service being cancelled/terminated, the client agrees to pay for all work completed up to that point
Working Hours & Communication
Working hours are typically 9:00 - 16:00 Monday - Friday (GBT).
Any communication outside of these hours will normally be dealt with on the next working day unless agreed in advance.
Bank Holiday hours may differ.
Working hours are flexible but must be agreed upon at the commencement of a project.
Bilbury Books prefers to receive communication and instructions via email or instant chat. This is because it provides a written record of our interactions. Written communication is useful as a reference tool and affords greater clarity when communicating complex tasks. We do of course use other methods of communication including telephone, video calling and Whatsapp.
During the consultation period, we will agree on the best method of communication as well as the frequency of communication.
With your agreement, completed projects may be used as part of our promotional material. We will always obtain your permission before sharing any work undertaken on behalf of our clients.

Data Protection & Copyright

Under the terms of the General Data Protection Regulation 2018 (GDPR), I may collect personal details including your name, business name, email address, phone number and postal address. The legal basis for collecting/processing the above data is ‘Contract’: the processing is necessary for a contract I have with you, or because you have asked me to take specific steps before entering into a contract. In other words, I need these details in order to communicate with you about any work I may do for you. I may also use your contact details to follow up with you after a job. Your personal contact details will not be shared with anyone else without your permission.
Any content created by Bilbury Books as part of the copyediting/proofreading/project management process will become the copyright of the Client unless otherwise agreed.
The nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission.​
Bilbury Books guarantees that any work that she/he subcontracts on behalf of the Client will be completed to the same standard, schedule and budget and with the same conditions of confidentiality.
Bilbury Books is not liable for any damages or losses resulting from errors or omissions in the proofread content. The client acknowledges that the proofreader's liability is limited to the amount paid for the proofreading services. The Client or Bilbury Books has the right to terminate a contract for services if there is a serious breach of its terms.
We reserve the right to modify these terms from time to time at our sole discretion.

Ownership and Intellectual Property
This website and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Bilbury Books. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.
Indemnification
You agree to indemnify and hold Bilbury Books harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.
Liability
To the maximum extent permitted by applicable law, in no event shall Bilbury Books, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.
To the maximum extent permitted by applicable law, Bilbury Books assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review this page periodically. When we change the Terms in a material manner, we will notify you that material changes have been made to the Terms. Your continued use of the Website or our service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the website or the service.

Either the Client or Bilbury Books has the right to terminate a contract for services if there is a serious breach of its terms.

This agreement is subject to the laws of England and Wales, and both Bilbury Books and Client agree to submit to the jurisdiction of the English and Welsh courts.
